David has been involved in the management of US companies’
China subsidiaries and China operations for the past twenty
years. He first came to China with IBM in 1987 after working
for IBM in the US. David has been exclusively focused on the
export, production, and promotion of US made goods and services
into China for his entire career. David has worked in China in a wide
range of industries in China for US & global corporations covering a wide
range of sectors including Information Technology,Industrial/Manufacturing,
Banking/Finance, Consumer Products, Logistics, and Consulting Business Sectors.
David has had the good fortune to work for a wide range of leading corporations in China
including Ingersoll-Rand China (Vice President - China), Caterpillar China (Marketing
Manager), IDG China (President & Legal Rep), IBM, CBA, Merrill Lynch and others. In
recent years his focus has shifted to turn-around situations and supporting clients work
through acquisitions and major decisions of Investment or strategy.
David has a B.B.A. in Multinational Business Operations and Chinese from Florida State
University (1986), a certificate from the Beijing Language University in Mandarin Chinese
(1987), and a M.B.A. in International Business and Chinese from the American Graduate
School of International Management (Thunderbird), (1991). David is a citizen of the
United States, born and raised in Florida and a long term permanent resident of China.
David is a native speaker of English, fluency in Mandarin Chinese with a knowledge of
several other Chinese language dialects.
Areas of business areas of expertise and experience include:
· Developing China business plans and feasibility studies,
· HR related issues: recruiting, managing, incentivizing and retaining local staff
· Establishing and managing national sales and service networks in China
· Supply Chain Management and Distribution Management
· Financial management of China operations
· Negotiations: contract negotiations, partner negotiations, government negotiations
· Acquisitions and green field start ups, and other activities associated with start up,
turn around, or acquisitions in China.
David has been involved in the formation, registration, and management of dozens of
different companies and business entities in China; these include representative offices,
branch offices, a Shanghai Wai Gao Qiao bonded parts warehouse & service center, a
Beijing bonded warehouse, various wholly foreign owned entities, manufacturing
companies, service companies, trading companies, logistics companies, a
holding/investment company, and five different joint venture companies in China. David
has also served on various company boards in China including Ingersoll-Rand Wuxi Road
Machinery and Ingersoll-Rand Xuan Hua Construction Equipment Company.
In particular has led or advised on a number of M&A transactions, including industries
such as construction machinery, plant equipment, hand tools, chemicals, media, industrial
components and FMCG. One recent M&A due diligence assignment that David led was
the largest US acquisition to date in China.
In addition to the two decades of living and working experience in China, David also
brings strong government contacts with both the US Department of Commerce and US
Foreign Commercial Service in Washington, DC as well as the Chinese Ministry of
Commerce and a wide range of other relevant ministries, bureaus, and provincial and
local level government and business sector entities in China.
Mr. Zhang Qing - Director
Mr. Zhang Qing (William) has held a range of senior level positions in both Chinese
government organization and US corporations. While working at the Ministry of
Machinery from 1990 through 2000, Mr. Zhang developed a broad base of colleagues in
various high level government positions through Beijing and the rest of China. More
recently he has acted as the China Office Director for US Manufacturing Association
(partially financed by the US Department of Commerce in Washington D.C. ) Mr. Zhang
represented all US Manufacturing Corporations that were “members” and lobbied the
Chinese government and promoted US business on behalf of the members. Mr. Zhang
has also worked as the China Business Development Manager for two US NYSE listed
corporations and has traveled to the US extensively.
Mr. Zhang Qing is a native of the Greater Shanghai Region and long term resident of
Beijing. He holds a degree in English from the Nanjing University and a Master of Law
Degree from the Beijing Diplomatic and Foreign Affairs University in Beijing.
Steve Wyatt is a native of the UK and has been
living and working in China and Asia since 1994.
Until recently Steve was a Global Partner and
Practice Leader for the Monitor Group. The Monitor
Group is one of the world’s premier Strategy Consulting firms and has an extensive global
network of offices that advise both leading global corporations and governments on a
wide range of strategic issues.
Steve holds two Masters Degrees in Management and in Engineering from Cambridge
University (UK) graduating in 1988. His M.Eng Thesis: “East-West Joint Ventures: How to
Make them Work” is especially beneficial to the clients CBD serves in China and Asia. In
addition, Steve also holds a Diploma in Accountancy and Finance (CDipAF), London,
1988. The CDipAF is similar a CPA in the US.

He is also an experienced practitioner in scenario planning and innovation
management as well as in the facilitation of the decision making processes of senior
executive groups (making good decisions in a timely manner and having them ‘stick’)
Steve has led many strategic due-diligence assignments for clients across a wide
range of industries.
Prior to Monitor, Steve was the Asia-Pacific Director for Marketing and Business
Development with Ingersoll-Rand (Construction and Mining).

Australia. In addition to Steve’s substantial Asian portfolio of experience, he also brings
experience in operating in the EU including Italy, UK, France, Germany, Holland, Belgium,
Mr. Li Hong - Director
Manufacturing and Production
Li Hong has served in key management roles with both major Chinese
corporations (Beijing United Automobile Corp.) and US corporations operating in China
such as Danaher Corporation (General Manager, Gilbarco Division China), General
Motors (Delphi Saginaw Drive Shaft China), and Ingersoll-Rand China (General Manger,
Xuan Hua IR). Li Hong is also a Master Black Belt and highly experienced in Six Sigma,
Lean Manufacturing, Project Management, ISO/QS9000 and application in China.
Li Hong holds a bachelor degree in Automotive Engineering and Production Engineering
from China’s most famous engineering and sciences university, Qing Hua University in
Beijing. Li Hong is a Chinese citizen and native of Beijing.
Michael O’Laughlin has been living in China acting as legal counsel
for leading global corporations for the past twenty six years.
In 1980 Michael founded his legal consulting firm in Beijing and was
one of the earliest attorneys working in China. Michael is an American
lawyer resident in China and Hong Kong, he first started to collaborate
with David & Steve in 1998.
The ten legal professionals address a diversified range of corporate advisory services,
including dispute resolution, property, labor, environmental, customs, taxation and
intellectual property matters.
In the over twenty years since coming to China Michael has acted as advisor in some of
the most successful and well-known projects in China; including acting as lead legal
advisors in negotiations for the establishment of a German Chinese automobile
manufacturing venture in Shanghai in which is today considered to be the most
successful Sino-foreign joint venture in China. Also, Michael has been counsel to a large
airline since the start up of its flights to China in the 1980s, and which is today one of the
most successful airlines operating in China. In addition, Michael’s team has assisted in the
establishment and/or reorganization of ventures in a broad variety of industries, including
mechanical, electrical, aerospace, chemicals and electronics. At present, the firm is
China legal counsel to dozens of leading global corporations with a long list of present
and past clients.
Michael received his undergraduate degree cum laude in Chinese language and
Economics from the University of Michigan, Ann Arbor, and his law degree magna cum
laude (Order of the Coif) from Indiana University, Bloomington. Prior to moving to China in
1980, Michael practiced with major law firms in San Francisco and Tokyo. Michael is bi-
lingual in Mandarin Chinese, having commenced study of Chinese in high school

Ms. Ellen Lu (Ms. Lu Yalin) - Director
Ms. Ellen Lu brings a strong background Program Management, Management Consulting
and Education Training & Development to CBDA. She has worked extensively with
universities in China, the US, and Canada lecturing on Program Management. Ms. Liu is
also a highly qualified simultaneous translator of Chinese and English.
Ms. Lu has strong high level government contacts as the Mayoral level, Provincial
Governor level, as well as the People’s Congress level. Ellen has an undergraduate
degree from the prestigious China University of Science & Technology and well as a
graduate MBA from the famous Fudan University in Shanghai and the University of
Hamburg, Germany. Ms. Lu resides in Shanghai.
